Biography
Raymond is an Associate in our Corporate and Commercial Practice. He qualified in Hong Kong as a solicitor in 2020.
Raymond has experience advising on a wide range of corporate and commercial matters including initial public offerings, share sale and purchase transactions, bank loan facilities, and venture capital transactions. He has extensive experience conducting due diligence and drafting documents including investment term sheets, shareholder agreements and subscription agreements.
His practice also includes assisting clients with estate planning, wills, probate, and trust matters. In addition, he assists our Intellectual Property practice, handling international trademark portfolios and managing Hong Kong trademarks for several clients. As well as our Immigration practice, advising clients on various immigration-related applications.
Prior to joining Tanner De Witt, Raymond trained at an established independent Hong Kong law firm in both dispute resolution and corporate practice.
Raymond read Law at the University of Sussex in the United Kingdom, obtained a Master of Laws at the University of Hong Kong, and completed the Postgraduate Certificate in Laws at the City University of Hong Kong.
Biography
- Advised purchaser on its acquisition of a Hong Kong private company in the garment industry.
- Advised purchasers, conducted due diligence on the target company and drafted and reviewed the agreements for acquiring shares in a film and creative agency company.
- Advised an international investment management services firm in relation to fundraising for cryptocurrency funds and drafted the relevant agreements.
- Advised the lead investor in its investment in a distribution business.
- Advised the founder and the company on its Series A fundraising round.
- Advised majority shareholder in the purchase of the shares from the minority shareholder.
- Advised on venture capital transactions, drafting term sheets, subscription agreements, shareholder agreements and amended articles.
- Assisted in IPO projects as the legal adviser to the issuer or sponsor.
- Advised on a franchise agreement for a restaurant group.
- Advised multiple clients to prepare convertible loan note agreements and future equity agreements.
- Drafted and reviewed various commercial documents, including but not limited to service agreements, sale and purchase agreements, shareholders agreements, subscription agreements and share swap agreements.

- Assisted various clients in drafting Wills.
- Assisted in various cross-border estate matters.
