{"id":11264,"date":"2019-07-25T15:32:30","date_gmt":"2019-07-25T07:32:30","guid":{"rendered":"https:\/\/www.tannerdewitt.com\/legal-update-a-beneficiaries-right-to-request-information-from-trustees\/"},"modified":"2020-02-18T21:04:23","modified_gmt":"2020-02-18T13:04:23","slug":"a-beneficiaries-right-to-request-information-from-trustees","status":"publish","type":"post","link":"https:\/\/www.tannerdewitt.com\/zh-hans\/a-beneficiaries-right-to-request-information-from-trustees\/","title":{"rendered":"Legal update: A Beneficiaries&#8217; right to request information from Trustees"},"content":{"rendered":"<p style=\"text-align: justify;\">The principles established in <a href=\"https:\/\/www.bailii.org\/uk\/cases\/UKPC\/2003\/26.html\" target=\"_blank\" rel=\"noopener noreferrer\"><em>Schmidt v Rosewood Trust Ltd <\/em>[2003]<\/a> relating to a beneficiaries\u2019 right to request information from trustees was recently confirmed by the England &amp; Wales High Court in <a href=\"https:\/\/www.bailii.org\/ew\/cases\/EWHC\/Ch\/2018\/777.html\" target=\"_blank\" rel=\"noopener noreferrer\"><em>Lewis v Tamplin<\/em> [2018]<\/a>.<\/p>\n<p style=\"text-align: justify;\">In <em>Lewis<\/em> the settlor set up a trust and left a farm in Glamorgan to her children as beneficiaries in equal shares and some of them became trustees of the trust. Later, some beneficiaries asked the trustees to disclose certain documents relating to the administration and management of the trust. The trustees only responded to the requests around 10 months later with inadequate information. The beneficiaries were dissatisfied with the disclosure and took out a formal application with the Court seeking the disclosure of information sought by the beneficiaries. The Court needed to address what kind of information the beneficiaries were entitled to.<\/p>\n<p style=\"text-align: justify;\">The Court discussed the case of <em>Schmidt<\/em> and decided to uphold the principles laid down in that case. In summary trust documents remain confidential but at the same time trustees owe a fiduciary duty to beneficiaries to keep them informed of the management of the trust and, in appropriate circumstances, provide the beneficiaries with trust accounts and other trust documents.<\/p>\n<p style=\"text-align: justify;\">If trustees are being difficult, the beneficiaries are entitled to take out an application with the court for a disclosure order of documents which fall within the Court\u2019s inherent jurisdiction to supervise and intervene in the administration of a trust. The Court has the ultimate discretion to determine whether and what trust documents should be disclosed to the beneficiaries and the beneficiaries can only seek disclosure of documents relating to the trust assets they are entitled to.<\/p>\n<p style=\"text-align: justify;\">This can be contrasted with the traditional approach as set out in the case of <a href=\"https:\/\/www.bailii.org\/ew\/cases\/EWCA\/Civ\/1964\/6.html\" target=\"_blank\" rel=\"noopener noreferrer\"><em>Re Londonderry\u2019s Settlement<\/em> [1965]<\/a>, which is often described to as the \u201c<em>proprietary right<\/em>\u201d approach. In short, under this approach beneficiaries are prima facie entitled to see the trust documents as the trust documents are \u201cowned\u201d by beneficiaries. Such general rule, however, is subject to an exception. If the trust documents disclose the trustee\u2019s reasons in exercising their discretion under the trust, such document needs not be disclosed to the beneficiaries.<\/p>\n<p style=\"text-align: justify;\"><em>Schmidt<\/em> itself has not been widely discussed in Hong Kong and it remains unclear as to whether Hong Kong will follow the \u201c<em>inherent jurisdiction<\/em>\u201d approach as adopted in <em>Schmidt<\/em> and <em>Lewis<\/em>, or the traditional \u201c<em>proprietary right<\/em>\u201d approach as adopted in <em>Re Londonderry\u2019s Settlement<\/em>.
