The first reading of the Bill took place in the Legislative Council on 8 January 2025.<\/p>\n<p>The key takeaways of the re-domiciliation regime are as follows:<\/p>\n<p>1. It provides for a mechanism whereby a non-Hong Kong incorporated company may apply to the Registrar of Companies to move its place of incorporation to Hong Kong.<\/p>\n<p>2. The legal identity of the company, and the company\u2019s pre-existing rights and obligations will not be affected by the re-domiciliation.<\/p>\n<p>3. Some important eligibility requirements for an application for re-domiciliation include:<\/p>\n<p>a) The applicant under the law of its place of incorporation must be the same or substantially the same as any one of the following four types of company under the Companies Ordinance of Hong Kong:<\/p>\n<ol>\n<li>private company limited by shares<\/li>\n<li>public company limited by shares<\/li>\n<li>private unlimited company with a share capital<\/li>\n<li>public unlimited company with a share capital.<\/li>\n<\/ol>\n<p>b) The law of the applicant\u2019s place of incorporation or the applicant\u2019s constitutional documents does not prohibit re-domiciliation to Hong Kong. Any company which successfully re-domiciles to Hong Kong will be required to deregister in the place of its incorporation.<\/p>\n<p>c) The applicant will need to obtain consent from its members for re-domiciliation in accordance with the requirements set out under the law of the applicant\u2019s place of incorporation or its constitutional documents. However, if there is no such requirement, then relevant consent will have to be obtained from 75% of the eligible members.<\/p>\n<p>d) The applicant is not subject to winding up or liquidation.<\/p>\n<p>e) The board of directors of the applicant is of the view that the applicant will be able to pay its debts in full within the period of 12 months beginning on the application date.<\/p>\n<p>f) Some entities, such as authorised institutions, are subject to additional requirements before they can make an application for re-domiciliation.<\/p>\n<p>4. Once re-domiciled, the company will be required to comply with all statutory requirements like any other Hong Kong incorporated company.<\/p>\n<p>5. The application for re-domiciliation includes submission of specified forms and supporting documents.
