Our Experience
Examples of our lawyers' wide experience include:
- Advising a large Taiwanese conglomerate in connection with the sale of one of its cable television franchises in Taiwan to a company owned by large US private equity group.
- Advising in connection with the Asia Pacific aspects of the sale by a European multinational of its worldwide ATM interests to a large US ATM manufacturer, involving a total consideration of US$90,000,000.
- Advising a major US electrical component distributor on its acquisition of two Hong Kong businesses, one of which has extensive interests in the Asia region. One of the businesses was acquired from a Hong Kong listed company, the other from an individual owner.
- Advising a Hong Kong construction company listed on the Stock Exchange of Hong Kong in connection with its restructuring of approximately HK$1,103,000,000 of liabilities, which involved compromises with 16 secured and unsecured creditors and shares from the company's parent (itself the subject of administration proceedings in Japan) and subsequently making a general offer for all outstanding shares in the Company.
- Advising a Hong Kong listed company involved in the construction industry on its buy-back of a minority stake in an existing joint venture from the joint venture partner. This turned into a lengthy transaction, due to the break-down of the relationship between the parties and the existence of numerous guarantees in relation to banking facilities and uncompleted projects.
- Acting in connection with the establishment of wholly foreign-owned enterprises and joint ventures in Mainland China.
- Advising upon the licensing for sale and manufacture in China of specialised components.
